These Terms of Service (hereinafter "Terms") define the terms and conditions of use of the Klips platform, published by ALYOS DIGITAL, accessible at streamklips.com (hereinafter "the Platform").
Klips is a B2B SaaS (Software as a Service) platform for managing video clipping campaigns. It enables clipping agencies ("Agencies"), content creators ("Creators") and clippers ("Clippers") to collaborate on video content promotion campaigns across social media platforms.
Registration and use of the Platform implies full, complete and unreserved acceptance of these Terms. By creating an account, the User acknowledges having read, understood and accepted all of these Terms, including clauses relating to intellectual property and confidentiality.
If you do not accept these Terms, you must not use the Platform.
Klips reserves the right to modify these Terms at any time. Users will be notified of changes via notification on the Platform. Continued use of the Platform after notification constitutes acceptance of the new Terms.
To use the Platform's services, the User must create an account by providing accurate, complete and up-to-date information. The User is responsible for the confidentiality of their login credentials and for all activities carried out from their account.
Klips offers the following services:
Agencies and Creators publish campaigns with a defined budget. Clippers can participate by creating and publishing clips according to the campaign guidelines.
Payments are managed via Stripe. Agencies and Creators top up their wallet to fund their campaigns. Users can withdraw their funds once the minimum threshold is reached.
The Klips Platform, including all of its source code, interfaces, software architecture, algorithms, databases, features, workflows, design and documentation, is the exclusive property of ALYOS DIGITAL and is protected by French and international laws relating to copyright, patents, trademarks and intellectual property (articles L.111-1 et seq. of the French Intellectual Property Code / Code de la propriete intellectuelle).
The User acknowledges that the Platform incorporates Proprietary Features constituting original and innovative know-how of Klips, including:
This list is non-exhaustive and covers any current or future feature of the Platform.
It is strictly prohibited for any User, directly or indirectly, by themselves or through a third party:
Any violation of the prohibitions set out in Article 8.3 constitutes infringement within the meaning of articles L.335-2 et seq. of the French Intellectual Property Code (Code de la propriete intellectuelle), punishable by three years of imprisonment and a fine of 300,000 euros.
Without prejudice to any additional damages, the offending User agrees to pay ALYOS DIGITAL a fixed indemnity of fifty thousand (50,000) euros per infringement found, as a penalty clause within the meaning of Article 1231-5 of the French Civil Code (Code civil). This indemnity is due by operation of law, without prior formal notice, and does not preclude compensation for damage actually suffered.
Clips created by Clippers remain their intellectual property. By participating in a campaign, the Clipper grants the Creator and/or Agency a non-exclusive license to use the content created in the context of the campaign.
The Creator and Agency guarantee that they hold the rights to the source content provided for the campaign.
The User acknowledges that the use of the Platform gives them access to confidential information, including without limitation: the operating mechanisms of the Platform, calculation algorithms, management workflows, interfaces and general architecture of the service.
The User undertakes to:
The confidentiality obligations set out in this article survive the termination or expiration of the User's account for a period of five (5) years.
During the entire period of use of the Platform and for a period of twenty-four (24) months following the User's last login, the User is prohibited from developing, having developed, marketing, distributing or operating, directly or indirectly, any software, platform or service whose features substantially reproduce those of Klips, as described in Article 8.2.
This clause applies to the territory of the European Union and any country in which Klips carries out or has carried out its activity. In case of violation, the penalty clause provided for in Article 8.4 applies by operation of law.
The User acknowledges that this clause is proportionate and necessary for the protection of the legitimate interests of Klips, given the privileged access to Proprietary Features conferred by the use of the Platform.
The following content is strictly prohibited on the Platform:
In accordance with French Law No. 2023-451 of June 9, 2023, aimed at regulating commercial influence (Loi n° 2023-451 du 9 juin 2023 visant a encadrer l'influence commerciale), the User acknowledges and accepts that:
Likewise, the Creator and Agency acknowledge that campaigns published on Klips constitute a commercial promotion initiative and undertake to comply with the legal obligations incumbent upon them as advertisers, particularly regarding written contracts when compensation exceeds the thresholds set by decree.
Klips acts as a technical service provider and intermediary. As such, Klips cannot be held liable:
In any event, the total liability of Klips towards a User is limited to the amount of sums actually paid by that User to Klips during the preceding twelve (12) months.
Klips reserves the right to suspend or delete any account, without notice and without compensation, in case of:
Termination of the account does not extinguish the User's obligations under Articles 8 (Intellectual Property), 9 (Confidentiality) and 10 (Non-Competition of Use), which survive termination.
Klips allows Users to connect their TikTok account via TikTok's official authentication system (OAuth 2.0). This connection allows Klips to:
The User can revoke Klips' access to their TikTok account at any time via their TikTok account security settings. Data collected via the TikTok API is processed in accordance with our privacy policy detailed in the Legal Notice.
These Terms are governed by French law. Any dispute relating to the interpretation or performance of these Terms shall be submitted to the exclusive jurisdiction of the competent courts within the jurisdiction of the registered office of ALYOS DIGITAL (Nice, France), even in the case of multiple defendants or third-party proceedings.
In the event of a dispute, the parties undertake to seek an amicable solution before any legal action. Failing agreement within thirty (30) days, the dispute shall be brought before the competent courts.
If any clause of these Terms is declared null or unenforceable by a competent court, such nullity shall not affect the validity of the other clauses, which shall remain in force. The null clause shall be replaced by a valid clause that most closely reflects the original intent of the parties.
